Welcome to SonCloud. These Terms of Service ("Terms") govern your access to and use of the SonCloud platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

SonCloud is a multi-tenant Software-as-a-Service (SaaS) platform that provides:

• Customer Relationship Management (CRM) tools
• Email integration and management
• Project and task management
• Invoicing and financial tracking
• AI-powered business assistance
• Voice communication features
• Analytics and reporting

2. Account Registration

Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using SonCloud, you represent that you meet these requirements.

Organization Accounts

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or other systems
• Interfere with or disrupt the Service or servers
• Use the Service to send spam or unsolicited communications
• Collect or harvest user data without consent
• Impersonate any person or entity
• Use the Service for any illegal or unauthorized purpose
• Resell or redistribute the Service without authorization

Ownership

You retain all rights to the data you input into the Service ("Your Data"). SonCloud does not claim ownership of Your Data.

License to SonCloud

You grant SonCloud a limited license to use, process, and store Your Data solely to provide and improve the Service. This license ends when you delete Your Data or terminate your account.

Data Responsibility

You are responsible for:

• The accuracy and legality of Your Data
• Maintaining appropriate backups of Your Data
• Ensuring you have the right to upload and use Your Data
• Compliance with data protection laws regarding personal data you process

5. Third-Party Integrations

The Service may integrate with third-party services including:

• Google Services: Gmail, Google Calendar
• Communication Services: Twilio for voice features
• AI Services: For AI-powered features
• Payment Processors: For billing and invoicing

Your use of third-party integrations is subject to the respective third party's terms of service and privacy policies. SonCloud is not responsible for third-party services.

6. Payment Terms

Subscription Fees

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failure to pay may result in suspension or termination of your account

Taxes

You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.

7. Intellectual Property

SonCloud Property

The Service, including its design, features, and content (excluding Your Data), is owned by SonCloud and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Feedback

If you provide feedback or suggestions about the Service, you grant SonCloud the right to use that feedback without restriction or compensation.

8. Confidentiality

We will treat Your Data as confidential and will not disclose it except:

• As necessary to provide the Service
• With your consent
• To comply with legal obligations
• To protect our rights or safety

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency repairs
• Factors beyond our control

• Any damages exceeding the fees paid by you in the 12 months preceding the claim

You agree to indemnify and hold harmless SonCloud and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data

13. Termination

By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

By SonCloud

We may suspend or terminate your account if:

• You violate these Terms
• Your use poses a security risk
• Required by law
• Your account has been inactive for an extended period

Effect of Termination

Upon termination:

• Your access to the Service will cease
• We may delete Your Data after a reasonable retention period
• Provisions that should survive termination will remain in effect

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and SonCloud regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent.
